Terms of Service

Welcome to Auralith OMNI Platform ("Platform"), operated by Auralith Inc. ("Auralith Inc.", "we", "us", or "our"). By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms").

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Auralith OMNI Platform provides AI agent creation, training, and deployment services. Our Platform allows users to:

• Upload and process data for AI model training
• Create and configure AI agents powered by trained models
• Deploy agents to various communication channels and APIs
• Monitor and manage AI agent performance

3. User Accounts

To use the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. User Data and Content

You retain ownership of all data and content you upload to the Platform ("User Content"). By uploading User Content, you grant Auralith Inc. a non-exclusive, worldwide license to:

• Process and store User Content for providing the service
• Train AI models based on your User Content for your exclusive use
• Generate aggregated, anonymized insights (without exposing your specific data)

We will not sell, share, or use your User Content for training models used by other customers without your explicit consent.

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Generate harmful, abusive, or deceptive content
• Distribute malware or engage in hacking activities
• Harass, threaten, or harm other users
• Circumvent any security measures or access restrictions
• Use automated means to access the Platform beyond provided APIs

6. Payment and Billing

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Authorize recurring charges unless you cancel
• Be responsible for any taxes applicable to your jurisdiction

Refunds are provided at our discretion. Contact support@auralith.org for billing inquiries.

7. Intellectual Property

The Platform, including its design, features, and technology, is owned by Auralith Inc. and protected by intellectual property laws. AI models trained on your data are considered derivative works and remain associated with your account.

8. Third-Party Integrations

The Platform connects to third-party services (e.g., Slack, Gmail, Salesforce). Your use of these integrations is subject to each provider's terms. Auralith Inc. is not responsible for third-party service availability or terms changes.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI agents may produce inaccurate or unexpected outputs. You are responsible for reviewing and validating all agent responses before use.

10. Limitation of Liability

IN NO EVENT SHALL AURALITH INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

Our maximum aggregate liability shall not exceed the fees you paid in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Auralith Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination:

• Your access to the Platform will be revoked
• Your trained models and agents will be deleted
• You may request export of your User Content within 30 days

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or Platform notification. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the Province of Ontario, Canada.
